These Export Terms & Conditions of Sale ("Terms") apply to all export transactions conducted between Rapid Medical Supplies Pty Ltd ("Supplier", "we", "us", or "our") and the customer ("Customer", "you", or "your"). By proceeding with the purchase and international shipment of any goods from us, the Customer agrees to be bound by the following terms and conditions, which shall apply notwithstanding any other terms that may be provided or implied.


1. DEFINITIONS 1.1 "Goods" means any products, equipment, or medical/mobility-related items sold or supplied by the Supplier.
1.2 "Export" means the international shipment of goods from Australia to a destination outside Australian borders.
1.3 "Consignee" means the person or entity to whom the Goods are addressed and delivered.
1.4 "Carrier" means any third-party freight forwarder, air cargo service, or shipping provider engaged to transport the Goods.


2. APPLICATION OF TERMS 2.1 These Terms apply to all export orders and override any inconsistent terms or conditions in the Customer's order or correspondence unless expressly agreed in writing by an authorised officer of the Supplier. 2.2 No variation or modification of these Terms shall be binding unless agreed to in writing and signed by both parties.


3. ORDER ACCEPTANCE AND CONFIRMATION 3.1 Orders for international shipment are accepted at the sole discretion of the Supplier. 3.2 An order is deemed accepted only upon written confirmation or invoice issued by the Supplier. 3.3 All pricing, quotations, and lead times are subject to change without prior notice.


4. PAYMENT TERMS 4.1 Unless otherwise agreed, all export orders must be paid in full prior to dispatch. 4.2 Accepted payment methods include wire transfer, credit card, or other approved methods as communicated by the Supplier. 4.3 All amounts are payable in Australian Dollars (AUD) unless otherwise specified in writing. 4.4 The Customer is responsible for all bank charges, currency conversion fees, and related costs.


5. DELIVERY, TITLE, AND RISK 5.1 Title in the Goods passes to the Customer upon full payment. 5.2 Risk in the Goods passes to the Customer upon dispatch from the Supplier's warehouse or nominated dispatch point. 5.3 The Supplier shall not be responsible for any loss, damage, theft, or delay occurring after the Goods have left our premises. 5.4 Delivery times are estimates only and are not guaranteed. The Supplier shall not be liable for any delay in delivery howsoever caused.


6. SHIPPING, FREIGHT, AND LOGISTICS 6.1 The Supplier may arrange freight through third-party carriers, but all shipments are subject to the terms and conditions of those carriers. 6.2 The Customer is responsible for ensuring the accuracy of all consignee information. 6.3 The Customer is responsible for paying all freight charges, customs clearance fees, port handling fees, and any other costs incurred in connection with the shipment of Goods. 6.4 If the shipment is returned, delayed, or rerouted due to incorrect delivery details, refusal of acceptance, or non-compliance with import requirements, all resulting costs shall be borne by the Customer.


7. IMPORT COMPLIANCE AND REGULATORY REQUIREMENTS 7.1 The Customer is solely responsible for ensuring the Goods may be legally imported and used in the destination country. 7.2 The Customer warrants that it will obtain and maintain all necessary permits, licenses, approvals, or documentation required by the local authorities in the importing country. 7.3 The Supplier provides no assurance that the Goods are compliant with local medical, electrical, safety, or regulatory standards outside Australia.


8. PRODUCT SUITABILITY AND USAGE 8.1 The Customer acknowledges that all Goods are sold according to Australian standards and may not be certified for use in other jurisdictions. 8.2 The Customer accepts full responsibility for confirming that the Goods are suitable for their intended purpose in the country of destination. 8.3 The Supplier disclaims all liability for any misuse, incompatibility, or regulatory non-compliance arising from the use of Goods in other countries.


9. RETURNS, CANCELLATIONS, AND REFUNDS 9.1 All international sales are final. No cancellations, returns, or exchanges are permitted once the Goods have been dispatched. 9.2 Refunds will not be issued for change of mind, shipping delays, customs issues, or dissatisfaction due to compatibility concerns. 9.3 If a return is accepted under special circumstances, it must be pre-approved in writing, and all associated return freight, handling, and customs fees shall be at the Customer's expense.


10. WARRANTY AND INTERNATIONAL RETURNS 10.1 All warranty claims are subject to the terms of the manufacturer’s warranty and the Australian Consumer Law where applicable. 10.2 The Customer is responsible for all costs associated with returning the Goods to Australia for warranty inspection or repair, including shipping, insurance, and customs clearance. 10.3 The Supplier is not responsible for any costs, damages, or loss incurred during the return shipment. 10.4 If a fault is confirmed under warranty, the Supplier may, at its discretion, repair, replace, or refund the item. Repaired or replacement items will be returned at the Customer’s expense. 10.5 The Supplier does not provide on-site warranty service or international collection services.


11. INSURANCE 11.1 The Supplier recommends that all international shipments be insured against loss, damage, and delay. 11.2 The Customer has the option to request insurance at additional cost. If the Customer declines insurance, the shipment will proceed entirely at the Customer’s risk. 11.3 The Supplier accepts no liability for claims related to uninsured shipments once the Goods leave the Supplier’s control.


12. FORCE MAJEURE 12.1 The Supplier shall not be held liable for any failure or delay in fulfilling its obligations due to circumstances beyond its reasonable control, including but not limited to:

  • Acts of God

  • War, riots, or civil unrest

  • Embargoes or trade restrictions

  • Pandemics, epidemics, or health crises

  • Natural disasters (floods, fires, earthquakes)

  • Strikes, lockouts, or industrial disputes

  • Transport disruptions or port closures 12.2 In such cases, the Supplier’s obligations are suspended for the duration of the force majeure event.


13. LIMITATION OF LIABILITY 13.1 To the maximum extent permitted by law, the Supplier shall not be liable for any indirect, consequential, incidental, or special damages including but not limited to loss of income, loss of business, or reputational damage. 13.2 The Supplier’s total liability shall not exceed the amount paid by the Customer for the Goods that are the subject of the claim. 13.3 Nothing in these Terms excludes any rights the Customer may have under the Australian Consumer Law that cannot be excluded by contract.


14. GOVERNING LAW AND JURISDICTION 14.1 These Terms shall be governed by and construed in accordance with the laws of the State of Queensland, Australia. 14.2 The parties submit to the non-exclusive jurisdiction of the courts of Queensland for the resolution of any disputes arising under these Terms.


15. ENTIRE AGREEMENT 15.1 These Terms constitute the entire agreement between the Supplier and the Customer regarding the export of Goods. 15.2 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.


16. ACCEPTANCE 16.1 By proceeding with payment and/or confirming shipment, the Customer acknowledges that they have read, understood, and agreed to these Export Terms & Conditions of Sale in full. 16.2 Where applicable, a signed acknowledgment may be requested and retained by the Supplier for record-keeping and compliance purposes.
